When I encode this mp3 through MeGUI,
I get strange peaking sound at first
Is it a problem of MeGUI?

I tried it using MeGUI and got the same peak. I then tried converting it using foobar2000 and it was fine. Why, I'm not sure. Maybe there's something wrong with the original MP3 file which the decoder doesn't like. Possibly some erroneous volume information in one of the MP3 frames?
If keeping the length of the original MP3 the same isn't vital, the peak you hear when encoding occurs during a bit of silence at the beginning. If you use mp3directcut (http://mpesch3.de1.cc/mp3dc.html) to delete the silence (or even just a small percentage of it) and save it as a new MP3 (no re-encoding) you should then be able to re-encode the new MP3 without a problem.

You could use delaycut as well to cut it and preserve length.

Maybe the Nicaudio problem? or file corrupted?
