A quiet question,,,,

Hoping for some experts help to get it right the first time around...:)

Source file:
MPEG1 VCD NTSC 352x240 Standard
(movie only ~352x176)
43-46 min. per episode.
445 mb!!!! (Waste of cd's!!)

I Want:
1) Same high quality in divx 3/4.
2) 2 episodes on one cd. (perhaps 3!!)
3) Would like to use Gknot. (This is why the question is in here)

What would you do?? I know how to get the info on the Mpeg movie in VirtualDub/Nandub.

Lame Question ? Perhaps. I just want to know how others would do..
