I have read the aac and ac3 information but just to confirm:
AAC is a lossy codec so if we convert ac3 to aac ofcourse we will lose quality but how much? Would there be a big difference or it could be not that much noticeable. And one more as ac3 are 448kbs for 5.1 channels..retaining the almost same quality what would be bitrate settings for aac. I use Megui and want to have .mp4 dvd rip

It's impossible to say without knowing what bitrate you intend to use for the final audio. In any rate, quality loss is a matter of perception, so the only way to know what will be a satisfactory level of quality loss to yourself would be to do some samples and listen to them.

So what would be the bitrate for aac converting from 448 ac3 which is not noticeable to an average listener.

448k :)
i'd go no lower than 384k if it's 5.1.....
