How to get 23.97 or 24 fps from 25 fps

Hello, I need your advise.

I'm tired using Google, so I desided to post for help.
I have a movie
Video: 1920x1080, 25fps, H.264, ~16Mbps

I want to convert it to:
1280x720p, 24 or 23.97 fps, H.264, ~6Mbps
cause I'm using Apple TV and the max. fps @ 720p is 24 fps.

What can I do? Where can I find the guide to do this?
