QuEnc, Mencoder or (as already mentioned) ffmpeg
Run QEnc /? for CLI options or see the included readme
Edit 1:
Beside this FreeEnc also supports MPEG1.
Edit 2:
I think for ffmpeg and mencoder Amnonīs Oldskool Tools are a good starting point since you can see what
different parameters are set by the corresponding GUI.
