i'm having this note with muxman but output plays fine on PowerDVD. Is it going to be playable with a standalone?

Per DVD Specifications longest GOP has to be ≤ 36 fields (18 frames NTSC, 30 fields or 15 frames for PAL), your longest GOP is 19 frames long....
Most players can handle such GOPs without any problem

but if i use ifoedit to remux same files i dont get such an error like that. so is it muxman's problem or my source files bad? i demuxed them from an original dvd with pgcdemux.

It is not an error, MuxMan is informing you that the video elementary stream contains more frames per GOP than the DVD specification allows. IfoEdit does not perform this check. And, as bigotti5 said, this should not cause any problems in most players.
