You can use TMPGEnc to do this. Just load the avi as you video and audio source and select a VCD template. Then encode away.
Make sure you have the DivX codecs installed.

I treid to do this, but it didn't work. It says, "Couldn't locate decompressor for format 'MP42' (Mixcrosoft High-Speed MPEG-4 V2). Where can I get the low and high speed CODECs? I have installed DivX ;-) 3.11 alpha and DivX4.
I have looked on the microsoft website.

Use AVI2VCD. This app doesn't supported compressed audio (i.e. MP3), so you have either:
1. Decompress the audio first (VirtualDub for example)
2. Run AVI2VCD to convert the Avi w/ uncompressed audio from step 1.
or
1. Use the provided Avi Audio Decompressor program that come with AVI2VCD, which produce an Avi with decompress PCM audio.
2. Run AVI2VCD to convert the Avi_PCM file created from step 1
BTW, you might want to normalize the uncompressed audio.
