have you tried putting the 256mb module in the place where the 128mb one was? what about your mainboard? what are it's memory bus settings and such?

There is a known issue with new types of 256MB PC133 memory modules (which I belive you have). They are marked as 32x4 (or 32x64) and they can only work with new motherboards that support this kind of memory. You have either check with your manufacturer or update your bios. Or just your memory module is screwed up....
take care

I bet you bought OEM ram on sale, right?
If so, take it back and never buy it again, I have bought it before and got it to work on one out of 6 computers, somtimes never. Spend the extra cash and buy crucial ram, at the prices of ram right now the few bucks you save are not worth it. In answer to your question, either the ram will not run in your machine or is bad.

i have had some mem problems too - try reading the mobo manual, sometimes the mobo advertises that its max is 1gb but its an obscure mixing pattern, like you can have only one 256 or 512 chip in any of the slots... or in your case perhaps max/slot is 128 - i have seen that too (especially on e-machines). Also, make sure there are no ram jumpers or bios settings you have to set to let the mobo know you have added more mem. You might want to make sure you are not mixing pc100 and 133 (133 is supposed to be downward compat.) but i have seen the mem locked and unable, thus giving errors... other than that, try a different mem sticks, perhaps you got a bad one.. hope some of this helps.. good luck
